Payroll Setup & Processing Services

Scope of Services

Covers remote accounting, financial advisory, payroll, and related services as agreed upon in writing or via service packages.

Client Responsibilities

Clients must provide accurate, complete, and timely financial data, documents, and access to systems required to perform services.

Fees & Payment Terms

Services are billed in advance (monthly/quarterly). Late or failed payments may lead to service suspension or termination.

Confidentiality & Data Security

Both parties agree to maintain strict confidentiality. Service providers must protect client data per global data protection laws (e.g., GDPR, CCPA).

International Compliance

All data handling and services adhere to applicable international financial, tax, and data protection regulations for each jurisdiction served.

Business Continuity

Service providers maintain a Business Continuity Plan (BCP) to ensure uninterrupted service, even during outages or emergencies.

Record Retention

Client records and financial data are securely retained for a minimum of 7–10 years, depending on local legal requirements.

Liability Limitation

Service provider's liability is limited to direct losses caused by proven negligence; no liability for indirect or consequential damages.

Indemnification

Clients agree to indemnify the provider against losses resulting from misuse of services, inaccurate information, or legal violations.

Termination Clause

Either party may terminate with 30 days' written notice. Immediate termination permitted for breach of contract, fraud, or non-payment.

Intellectual Property (IP)

All client data and custom deliverables remain the client's property. Provider retains ownership of proprietary tools/methods used.

Non-Solicitation

Clients may not hire or solicit the provider's employees or contractors during the contract term and for 12 months afterward.

Audit & Monitoring Rights

Clients may audit service quality or data handling practices with reasonable notice; providers must comply with regulator audits if required.

Service Modifications

Service terms, scope, or pricing may be updated with prior notice. Continued use implies acceptance of updated terms.

Dispute Resolution & Governing Law

Disputes will be resolved via arbitration or mediation. Governing law is based on provider's primary jurisdiction, unless otherwise agreed.
